Diego Ruiz is an Associate at Cannizzo Ortiz y Asociados, S.C. His practice focuses on Corporate Law, Foreign Investment, and Administrative and Regulatory Law. He has experience advising on the incorporation and establishment of Mexican companies with foreign capital participation, as well as ongoing corporate maintenance, governance, and legal advisory matters.
He also advises on regulatory compliance, obtaining and maintaining federal permits, authorizations, and concessions, and legal matters related to real estate and infrastructure development projects.

Corporate Law and Corporate Governance
Diego has experience advising domestic and international companies on the incorporation and establishment of legal entities in Mexico, particularly those involving foreign investment, as well as the structuring of their corporate governance, management, and representation bodies.
His practice encompasses ongoing corporate maintenance and compliance with statutory obligations, including the preparation and formalization of shareholders’ meeting minutes and corporate resolutions, amendments to bylaws, maintenance and updating of corporate books and records, share capital transactions, appointment and replacement of directors and officers, and the granting, amendment, and revocation of powers of attorney.
He also provides ongoing legal counsel to Mexican subsidiaries of multinational groups, ensuring compliance with corporate obligations and the effective implementation of decisions adopted by shareholders and governing bodies.

Foreign Investment
Diego advises on legal and regulatory obligations arising from foreign ownership and investment in Mexican companies, including registration and reporting requirements before the National Registry of Foreign Investments (RNIE), responding to regulatory inquiries and requests from government authorities, and regularizing corporate records to ensure compliance with applicable foreign investment regulations.

Administrative and Regulatory Law
His experience includes analyzing the legal and regulatory frameworks governing activities subject to federal authorization, assisting clients in obtaining and maintaining permits, licenses, and authorizations, and ensuring compliance with obligations imposed by various agencies of the Mexican Federal Public Administration.

Real Estate, Infrastructure, and Natural Resources
Diego’s practice also encompasses real estate, infrastructure, and natural resources matters, particularly the review, regularization, and maintenance of federal concessions for the use and exploitation of federally owned public assets, including federal maritime-terrestrial zones (ZOFEMAT) and national waters.
He also assists in assessing regulatory requirements and legal considerations associated with real estate developments and infrastructure projects, helping clients navigate applicable federal regulations and concession-related obligations.

Litigation and Dispute Resolution
Additionally, Diego has experience in civil, commercial, and administrative litigation, particularly disputes involving intellectual property, copyright, and construction matters.
His litigation experience includes proceedings before local and federal courts, including matters brought before the Supreme Court of Justice of the Nation (SCJN).
